Care Plan Subscription Agreement

This Care Plan Subscription Agreement ("Agreement") is between Ajar Intelligence LLC and the client named below ("Client", "you"). It covers recurring monthly hosting, care, and SEO services after a website project, or as a standalone care subscription. Public Terms of Service at ajaryan.com/terms also apply. If this Agreement and the site Terms conflict on subscription price, plan, or billing cycle, this Agreement controls for those points.

2. What the subscription includes

Hours are soft caps for ordinary care. Larger features, redesigns, new apps, or major integrations are out of scope and quoted separately. Unused hours do not roll over unless we agree in writing.

3. Billing, auto-renewal, and payment

1. Fees are billed monthly in advance on or about the Start date anniversary each month. This is a recurring auto-renewing subscription until you cancel under Section 5.
2. Payment is collected through our payment provider (for example Stripe Checkout or a subscription invoice link). Card or other methods shown at signup.
3. Before or at checkout you are shown the plan name, price, billing frequency (monthly), and that charges continue until you cancel. Completing checkout or paying the first invoice is your authorization for recurring charges.
4. You authorize recurring charges to the payment method on file until you cancel under Section 5.
5. Failed payment: we may retry, email you, and if unpaid after a short grace period (typically 7 days after notice), pause hosting, SEO work, or take the site offline until paid.
6. Prices may change with at least 30 days' email notice. You may cancel before the new price takes effect.
7. Taxes: you are responsible for any applicable taxes we are required to collect.

4. Term

This subscription is month-to-month. There is no long-term lock-in unless a separate writing says otherwise. Included free Get Found months from a project build (if any) run first. Paid billing under this Agreement starts on the Start date above.

5. Cancellation, ownership, and exit

1. You may cancel anytime by email to kachik@ajaryan.com or through the customer billing portal we provide (if enabled). Online cancelation through that portal is available after signup when Stripe billing is enabled.
2. Cancellation is effective at the end of the then-current paid month unless we agree otherwise. We do not prorate or refund unused days of a paid month, except where required by law.
3. After cancel: hosting and care stop at period end. If the related project was paid in full, you may request a practical source handoff (export, asset list, and deploy notes) under our Terms of Service. Extra export help beyond a simple release may be billed at then-current rates.
4. You should own your domain in your registrar account. If we registered a domain for you, we transfer it after full project payment on written request.
5. Client owns Client content and, after full project payment, the finished custom site deliverables as stated in the Terms. You own your Google Analytics, Search Console, and (if applicable) Google Ads accounts and data.

6. Client responsibilities and content approval

• Provide timely content, logins, and feedback when we need them for SEO or updates.
• Keep a valid payment method on file.
• Own or control the domain DNS (or give us access) so hosting and email can work.
• Do not use the site for illegal content or activity.
• For regulated professions (including law), Client reviews and approves marketing copy before publish. Client is responsible for attorney advertising and professional-rule compliance. AJAR does not give legal advice and does not create an attorney-client relationship with site visitors.

7. Fair Play and non-exclusivity

Unless a written exclusivity addendum says otherwise, AJAR may serve other clients, including other law firms. Deliverables follow the plan you pay for (see the Care Plan Deliverables Checklist). We do not share one client's confidential data, strategy, or creative with another. The Fair Play Policy in the legal packet is incorporated by reference.

8. No results guarantees

We do not guarantee specific rankings, traffic, leads, sales, or revenue. SEO and care improve your odds. They are not promises of outcome.

9. Intellectual property and portfolio

Custom work created under a prior project remains governed by that project agreement and our Terms of Service. Routine care updates made under this subscription become part of your site. We may show the site in our portfolio unless you ask us in writing not to.

10. Limitation of liability

To the fullest extent allowed by law, we are not liable for indirect or consequential damages. Our total liability under this Agreement for any claim is limited to the subscription fees you paid us in the three (3) months before the claim.

11. Acceptance

You accept this Agreement by (a) signing below, or (b) checking a box / clicking to subscribe in our payment checkout that references this Agreement, or (c) paying the first subscription invoice after we send you this Agreement.
